Terms of Service
These terms cover the work 45Squared LLC does for you: building websites, hosting them, migrating them, and auditing them. Plain language, because you should be able to read them.

1. Who we are
45Squared LLC (“45Squared”, “we”, “us”) is a web development studio in the United States. “You” means the person or business we are doing work for.
2. What we agree to
Before any paid project starts, we agree the scope and the price in writing. That written scope is the agreement. If the work changes, we agree the change and any new price in writing before we do it.
Quotes are valid for 30 days unless we say otherwise.
3. What you own
When a project is paid in full, you own the website we built for you: the files, the content, the design as delivered, and the domain. We hand it over on request and we do not hold it hostage.
Two exceptions. First, third-party components keep their own licences — a premium theme or plugin is licensed to you under its own terms, not ours. Second, we keep the right to describe the work publicly and show it as an example, unless you ask us in writing not to.
4. Hosting
Managed hosting is billed monthly in advance at the price published on our site. It includes a dedicated server for your site, SSL, a content delivery network, daily backups, uptime monitoring, and applied software updates.
We do not promise a specific uptime percentage. We do promise to monitor your site, to fix what we can fix, and to tell you honestly when something is broken and why.
Backups are taken daily and retained on a rolling basis. Backups are a safety net, not an archive: if you need something kept permanently, tell us and we will arrange it.
5. Paying us
Recurring services are billed monthly to the card or bank account on file. You can update that payment method yourself at any time through our billing portal.
Project work is invoiced as agreed in the scope. Invoices are due on receipt unless the scope says otherwise.
If a payment fails we will contact you and try again. If an account stays unpaid for 30 days we may suspend the service until it is settled. We will always warn you before we suspend anything.
6. Cancelling
You can cancel a monthly service at any time, effective at the end of the period you have paid for. We do not refund part-months, and we do not charge a cancellation fee.
If you cancel hosting, we will give you a full copy of your site and a reasonable amount of help moving it. Your site is yours.
We may end an agreement if an account goes unpaid, or if we are asked to do something unlawful. We will give you notice and your data.
7. What we need from you
Projects need your input: content, approvals, access to accounts. If those stall, timelines move. We will tell you when that happens rather than quietly slipping.
You confirm that content you give us is yours to use, and that it does not infringe anyone else’s rights.
8. Website audits
Our audits report what automated checks find at the time they run. They are a useful signal, not a legal opinion, and passing an accessibility check is not a guarantee against a claim. Treat an audit as a starting point for work, not as certification.
9. Limits of our liability
We do the work carefully, but we cannot promise a website will never break, never be attacked, or produce a particular commercial result.
To the extent the law allows, our total liability for any claim is limited to the amount you paid us for the service the claim relates to in the 12 months before it arose. We are not liable for indirect or consequential losses, including lost profit or lost data, beyond that amount.
Nothing here limits liability that cannot be limited by law.
10. Your data
How we handle personal information is set out in our privacy policy.
11. Changes to these terms
We may update these terms. If a change materially affects an active agreement, we will tell you before it applies to you. The version on this page is the current one, and the date at the top tells you when it changed.
12. Governing law
These terms are governed by the laws of the State of Michigan, United States, and any dispute will be handled in the courts of that state.
